[Click to register] After market close on October 16, 2026, GOGOX Holdings Limited (02246.HK) issued an announcement declaring that it had entered into a sale and purchase agreement with an independent third party, Crestpoint Investment Limited, to sell the entire issued share capital of the target company GGEx Holdings Limited for a nominal consideration of RMB 1.00. The target company, through a series of domestic and overseas wholly foreign-owned enterprises and contractual arrangements, effectively carries the entire logistics and delivery business of the "GOGOX" brand in mainland China. At the same time, the board of directors proposed to change the company's Chinese name from "GOGOX Holdings Limited" to "GOGO Tech," while the English name remains unchanged, to reflect the group's future strategic focus on Hong Kong and other overseas markets. This means that the company, which listed on the Hong Kong Stock Exchange in 2022 as the "first stock in intra-city freight," has formally chosen to exit the mainland China market four years after going public.
At 1 yuan, divesting a persistently bleeding negative asset. A transaction consideration of 1 yuan is not common in the capital markets, but in the face of the financial reality of the target asset, this symbolic pricing has its clear accounting logic. The announcement disclosed that the target company GGEx Holdings Limited recorded revenue of RMB 166 million, RMB 132 million, and RMB 44.016 million in 2024, 2025, and the first half of 2026, respectively, showing an accelerating contraction year by year. During the same period, after-tax losses were RMB 152 million, RMB 79.668 million, and RMB 49.259 million, respectively, with cumulative losses exceeding RMB 280 million over two and a half years. As of June 30, 2026, the target company's unaudited net liabilities were approximately RMB 2.476 million, already in a state of insolvency. The company explicitly stated that the 1 yuan consideration is mainly based on the target company's continued losses and negative net asset position, and is only used to supplement working capital. In other words, what GOGOX is selling is not an "asset," but an operating burden that requires continuous capital injection to keep running. The acquirer, Crestpoint Investment Limited, is an investment holding company incorporated in Hong Kong, wholly owned by businessman Wu Zifeng. The company stated that the new shareholder may inject more targeted resources and flexibility into the target company's business, helping it achieve future growth. The contraction of GOGOX's mainland China business did not happen overnight. At the time of its 2022 listing, its market share in mainland China was approximately 3.2 percent. By 2025, this figure had shrunk to just 0.5 percent. Under pressure from leading platforms such as Huolala and Full Truck Alliance, GOGOX's presence in the mainland intra-city freight sector continued to weaken, economies of scale never materialized, and losses became the norm. From the perspective of the group's overall revenue structure, the mainland market has long ceased to be the core. In the first half of 2026, GOGOX's total revenue was RMB 292.6 million, of which revenue from Hong Kong and overseas markets was RMB 248.6 million, accounting for 85 percent. Revenue from mainland China was only RMB 44.016 million, down 35.7 percent year on year. Among the three major business segments, enterprise service revenue was RMB 203.6 million, down 13.0 percent year on year. Platform service revenue was RMB 46 million, down 27.0 percent year on year. Only value-added services achieved growth of 36.9 percent to RMB 43 million, and the growth was mainly driven by overseas markets. Behind the shift from "GOGOX" to "GOGOX" — mainland business market share has shrunk to 0.5 percent. The renaming to "GOGO Tech" is not simply a brand makeover, but a strategic signal closely tied to the divestment. The company explained in the announcement that the existing Chinese name "GOGOX Holdings Limited" no longer reflects the group's business and future strategic direction, and retaining this name may cause confusion among shareholders, potential investors, and the public about the company's business. After the transaction is completed, the group will no longer operate any business in mainland China under the "GOGOX" brand, and its business focus will shift entirely to Hong Kong and other overseas markets, operating uniformly under the "GOGOX" brand. The renaming aims to eliminate market confusion about the geographic scope of the group's business and strengthen the unified image of the "GOGOX" brand in overseas markets. From a capital markets perspective, this renaming carries another layer of meaning: when a company's core narrative has already shifted from "an intra-city freight platform in mainland China" to "a logistics technology service provider in Hong Kong and overseas markets," continuing to use the name "GOGOX," which bears a distinct mainland market imprint, does not help investors establish a new valuation framework.
Market value fell from HKD 14 billion to less than HKD 100 million in four years since listing. GOGOX's capital story is a typical example of a "high open, low close." On June 24, 2022, the company listed on the Hong Kong Stock Exchange at HKD 21.50 per share. On its debut day, the stock once surged to HKD 23.15 intraday, with a total market value exceeding HKD 14 billion. Since then, the share price continued to decline, falling below HKD 1 in September 2023 and becoming a penny stock. As of October 16, 2026, the company's share price closed at HKD 1.12, with a total market value of only about HKD 73.94 million, a drop of more than 99 percent from its post-listing peak market value. On the performance front, although losses have narrowed, the contraction on the revenue side is equally significant. In the first half of 2026, adjusted net loss decreased from RMB 74.46 million in the same period last year to RMB 23.90 million, narrowing by 68 percent year on year. The main driver of the narrowed loss came from cost compression — research and development expenses fell sharply by 84.2 percent year on year, and net cash flow from operating activities was negative RMB 17.177 million, still in a state of net outflow. Cost reduction and efficiency improvement improved the book loss, but failed to reverse the trend of declining revenue.
