CHINA HUAJUN GP Issues Circular on Debt-for-Equity Swap and Whitewash Waiver, Sets 26 Aug SGM

CHINA HUAJUN GP (China Huajun Group Limited) has despatched a shareholder circular dated 4 August 2026 detailing its plan to issue new shares under a Specific Mandate to capitalise debt and to seek a Whitewash Waiver from the Takeovers Code requirements.

The circular provides: 1. Comprehensive information on the Settlement Agreement and the corresponding debt-for-equity transactions. 2. Explanatory statements on the proposed Specific Mandate and the requested Whitewash Waiver. 3. Independent assessments, including the Independent Board Committee’s recommendation and the Independent Financial Adviser’s opinion, guiding independent shareholders on voting considerations. 4. The notice convening a special general meeting (SGM).

The SGM is scheduled for 10:00 a.m. on Wednesday, 26 August 2026, at 18th Floor, 9 Queen’s Road Central, Hong Kong. Shareholders will vote on the Settlement Agreement, the share issuance under the Specific Mandate, and the Whitewash Waiver.

The board advises shareholders and potential investors to review the circular thoroughly and exercise caution when dealing in the company’s securities.

As of the announcement date, the board comprises four executive directors—Mr. Yan Ruijie (Chairman and CEO), Ms. Chen Yun, Dr. Li Dayi and Ms. Wang Xiaomei—and three independent non-executive directors: Mr. Mok Yi Kwo, Mr. Ding Xingfu and Ms. Zhu Fang.
