Bank of Nanjing Co., Ltd. to Dissolve Supervisory Committee, Board Audit Committee to Assume Related Functions

Bank of Nanjing Co.,Ltd. announced that it had previously completed amendments to its Articles of Association and has received the "Reply from the Jiangsu Financial Regulatory Bureau on the Amendment of the Articles of Association of Bank of Nanjing Co., Ltd." (Su Jin Fu [2025] No. 428).

Effective from the date the amended Articles of Association received regulatory approval, the bank's Supervisory Committee and its subordinate specialized committees, as well as the supervisors, ceased to perform their duties. The Board's Audit Committee has taken over the functions of the Supervisory Committee as stipulated by the "Company Law of the People's Republic of China" and relevant regulatory systems. On December 26, 2025, the bank convened its third extraordinary shareholders' meeting of 2025, which reviewed and passed the "Proposal on Bank of Nanjing Co., Ltd. No Longer Establishing a Supervisory Committee."

From the date of the shareholders' meeting approval, the bank will no longer maintain a Supervisory Committee, with the Board's Audit Committee legally exercising the related authorities of the Supervisory Committee. The specialized committees under the Supervisory Committee were simultaneously dissolved. All systems related to the operation of the Supervisory Committee and the performance of duties by supervisors have been abolished. Mr. Lü Dongyang, Ms. Ma Miao, Ms. Xu Yueping, Mr. Wang Jiahua, Mr. Wang Guobin, Ms. Huang Tao, Mr. Zhang Lülin, Mr. Guo Jun, and Mr. Qi Mengran no longer hold the positions of supervisors or related roles within the Supervisory Committee. It was confirmed that they have no differing opinions with the bank and no other matters need to be communicated to the bank's shareholders and creditors.
