Bingo Group Issues 1.13 Million New Shares via Option Exercises; Share Capital Rises to 180.11 Million

Bingo Group Holdings Limited has announced a change in its share capital pursuant to Rule 3.8 of Hong Kong’s Takeovers Code, following recent activity under its share option schemes.

Since the latest practicable date of the composite offer document (3 July 2026), a total of 1,129,088 share options granted under the 2024 Share Option Scheme were exercised on 14 July 2026 at an exercise price of HK$1.17 per share. This resulted in the issuance of an identical number of new shares—102,644 to a company director and 1,026,444 to a non-director participant.

As a consequence, the company’s issued share capital has increased to 180.11 million shares. Outstanding equity‐settled instruments now comprise 2.26 million share options under the 2024 scheme, all exercisable at HK$1.17 per share. All 1.71 million options outstanding under the 2012 Share Option Scheme lapsed on 6 July 2026. The company confirmed that it has no other outstanding warrants, derivatives or convertible securities.

The disclosure is made amid ongoing unconditional mandatory cash offers by Sinolink Securities (Hong Kong) Company Limited, on behalf of the Offeror, to acquire all issued shares not already held by the Offeror and its concert parties, and to cancel all outstanding options. Associates of both Bingo Group and the Offeror holding 5% or more of any class of relevant securities are reminded of their obligations to disclose dealings under Rule 22 of the Takeovers Code.
