R&F Properties: Hong Kong Court Postpones Scheme Convening Hearing on Easy Tactic Note Restructuring to 20 November 2026

Bulletin Express10-30

Guangzhou R&F Properties Co., Ltd. (“R&F Properties”, SEHK: 02777) announced that the High Court of the Hong Kong Special Administrative Region has adjourned the Scheme Convening Hearing for the Hong Kong restructuring scheme proposed by its subsidiary R&F HK to 20 November 2026. The hearing was originally slated for 30 October 2026.

The adjournment affects the ongoing restructuring of Easy Tactic Limited’s outstanding senior notes, which include: • 6.50 % Cash / 7.50 % PIK Senior Notes due 2025 (ISIN: XS2495355674) • 6.50 % Cash / 7.50 % PIK Senior Notes due 2027 (ISIN: XS2495358009) • 6.50 % Cash / 7.50 % PIK Senior Notes due 2028 (ISIN: XS2495359403)

These securities—collectively referred to as the “In-Scope Debt” in previous company communications—remain subject to a comprehensive restructuring plan first outlined in August 2024 and subsequently updated through a series of fourteen announcements. The current update confirms that court approval for convening creditor meetings under the Hong Kong Scheme is now targeted for late November.

R&F Properties reiterated that further announcements will be issued “as and when appropriate,” indicating continued regulatory engagement. The company also emphasized that the document does not constitute an offer to sell, nor a solicitation to buy, any securities in any jurisdiction.

Board composition remains unchanged, with Chairman Li Sze Lim leading four executive directors, two non-executive directors, and three independent non-executive directors as of 30 October 2026.
