Lai Group Proposes 20-for-1 Share Consolidation and HK$32.60 Million Rights Issue to Bolster Capital Base

Bulletin Express10-07

Lai Group (stock code 08455) unveiled a multi-step capital plan that combines a share consolidation, capital reduction, authorised capital enlargement and a two-for-one rights issue, aiming to strengthen its balance sheet and lift its trading price above HK$0.10.

Key Terms

1. Capital Reorganisation • 20-for-1 Share Consolidation: every twenty HK$0.01 shares will become one HK$0.20 Consolidated Share, shrinking issued shares from 960.00 million to 48.00 million. • Capital Reduction: par value of each Consolidated Share will fall from HK$0.20 to HK$0.01, creating an HK$9.12 million credit to offset accumulated losses. • Sub-division: each authorised but unissued Consolidated Share will split into twenty Adjusted Shares of HK$0.01.

2. Board Lot & Trading Arrangements • Board lot size will change from 10,000 Existing Shares to 5,000 Adjusted Shares once the reorganisation is effective (target date 1 Dec 2026), lifting theoretical board-lot value from HK$240 to HK$2,400 (based on HK$0.024 closing price pre-consolidation). • Odd-lot matching services and free share-certificate exchange (1 Dec 2026–8 Jan 2027) will be arranged.

3. Authorised Capital Increase • Authorised share capital will rise tenfold from HK$20.00 million to HK$200.00 million after the reorganisation, creating 18.00 billion additional Adjusted Shares.

4. Rights Issue (non-fully underwritten) • Basis: 2 Rights Shares for every 1 Adjusted Share. • Subscription price: HK$0.34 per Rights Share. • Maximum issue size: 96.00 million Rights Shares, raising up to HK$32.60 million gross (HK$31.00 million net). • Use of proceeds: HK$26.70 million for staff costs and directors’ remuneration over 24 months; HK$4.30 million for professional and office expenses over the same period. • No excess application; unsubscribed and excluded shareholders’ entitlements will be placed to independent investors on a best-efforts basis by I Win Securities.

5. Underwriting & Undertakings • Substantial shareholder HK H&Y Group (22.65% stake) has provided an irrevocable undertaking to take up its full entitlement, subject to maintaining public-float and avoiding a mandatory offer. • HK H&Y Group will partially underwrite remaining Rights Shares on similar conditions without receiving commission, constituting a connected transaction under GEM Listing Rules.

6. Timetable Highlights (subject to approvals) • EGM: 20 Nov 2026 to approve all proposals. • Effective date of Capital Reorganisation & new board lot: 1 Dec 2026. • Record date for Rights Issue: 10 Dec 2026. • Dealings in nil-paid Rights Shares: 15–22 Dec 2026. • Latest acceptance and payment: 29 Dec 2026. • Results announcement: 18 Jan 2027. • Trading in fully-paid Rights Shares: 20 Jan 2027.

Regulatory & Shareholding Impact

• The Rights Issue enlarges issued capital by up to 200%; independent shareholders must approve the transaction under GEM Rule 10.29(1). • Post-issue (full take-up), Lai Group would have 144.00 million shares in issue, with HK H&Y Group maintaining a 22.65% stake; public float would be 63.61%. • If only HK H&Y Group subscribes and no placing succeeds, its holding would cap at 29.99%, and issued shares would total 53.03 million, keeping public float at 52.63%.

Risk Warning

The rights issue is conditional on shareholder approvals and Stock Exchange clearance. Dealings in existing shares and nil-paid rights carry the risk that the transaction may not become unconditional.
