CHEERWIN GP Plans Third Amended & Restated Articles to Enable Electronic and Hybrid Meetings

Cheerwin Group Limited (CHEERWIN GP) announced a proposal to replace its current second amended and restated Articles of Association with a third amended and restated version. Key features of the proposed changes include:

1. Meeting Format and Voting • Introduction of fully electronic and hybrid general meetings. • Provision of electronic voting mechanisms.

2. Alignment with Regulatory Updates • Conformance with recent and proposed amendments to Hong Kong Listing Rules, covering: – Expanded paperless listing requirements and electronic dissemination of corporate communications. – Upcoming uncertificated securities market regime. – New rules governing treasury shares. • Incorporation of relevant updates to Cayman Islands company law.

3. Housekeeping Updates • Miscellaneous consequential and formatting amendments to ensure consistency throughout the Articles.

A special resolution to approve the new Articles will be tabled at the company’s forthcoming annual general meeting. The amendments will take effect immediately upon shareholder approval. A detailed circular, AGM notice and proxy form will be dispatched to shareholders on request and published on both the Hong Kong Stock Exchange and company websites in due course.
