China Financial International Investments ends share and warrant subscription agreements with Phancy International and two individual investors

On 23 June 2026, China Financial International Investments entered into three deeds of termination, formally cancelling its earlier financing arrangements with Phancy International Limited and individual subscribers Mr. Huang Shiying and Mr. Liu Yongxing.

The terminated transactions comprise: 1) the Share Subscription Agreement and Warrant Subscription Agreement I with Phancy International; 2) Warrant Subscription Agreement II with Mr. Huang Shiying; and 3) Warrant Subscription Agreement III with Mr. Liu Yongxing.

Under the deed signed with Phancy International, the investor will reimburse the Company for all costs and expenses incurred in preparing and executing the cancelled share and warrant subscriptions. Once these payments are settled, both parties will be fully released from their respective obligations.

The separate deeds with Mr. Huang and Mr. Liu take immediate effect and also discharge all parties from any further responsibilities arising from their respective warrant subscription agreements.

The Board states that terminating these agreements is not expected to have any material adverse impact on the Company’s existing business, operational standing or financial condition.
