Mobvista Schedules 29 May 2026 EGM to Approve Updated RSU Scheme and 62.97 Million Share Award

Mobvista Inc. has convened an extraordinary general meeting (EGM) for 10:00 a.m. on 29 May 2026 at 1 Raffles Quay, #09-06, North Tower, Singapore.

The board will seek shareholder approval for three key matters under Ordinary Resolution 1: 1. Adoption of amendments to the existing Employee Restricted Share Unit Scheme. 2. Confirmation that the aggregate number of shares issuable or transferable under all share-based incentive plans shall not exceed 10% of Mobvista’s issued share capital (excluding treasury shares) as at the date when the amended scheme or any refreshed mandate limit is approved. 3. Full replacement of the current scheme with the amended Restricted Share Unit Scheme, effective immediately after the EGM.

Ordinary Resolution 2 requests ratification of a grant of 62.97 million award shares to Chairman and Chief Executive Officer Mr. Cao Xiaohuan under the amended scheme, and authorizes any director to implement the grant.

Shareholders recorded on the register by 4:30 p.m. on 25 May 2026 will be eligible to attend and vote. The register will be closed from 26 May 2026 to 29 May 2026, inclusive. Proxy forms must be lodged with Computershare Hong Kong Investor Services Limited no later than 10:00 a.m. on 27 May 2026.

As of the notice date, the board comprises four executive directors, one non-executive director and three independent non-executive directors.
