First Pacific (00142) Announces Renewal of Indofood Group’s Connected Transactions for 2026–2028

First Pacific Company Limited (00142) released a circular dated 19 November 2025 announcing the proposed renewal of continuing connected transactions with its subsidiary Indofood. Two sets of arrangements are involved: the 2026–2028 Plantations Business Transactions and the 2026–2028 Distribution Business Transactions.

These transactions cover, among others, sales of palm oil and derivative products, distribution of consumer goods, and provision of various operational and transportation services. The company stated that the renewed framework agreements are intended to continue supporting Indofood’s integrated business model and secure a stable supply chain for its agribusiness and consumer products segments.

New annual caps are proposed for each of the years ending 31 December 2026, 2027, and 2028. The company emphasized that these are designed with reference to projected transaction volumes, expected production growth, and market factors such as inflation.

An online special general meeting is scheduled on 12 December 2025 at 3:00 p.m., where independent shareholders will vote on these transactions and the relevant annual caps. Shareholders seeking to attend or vote must return proxy forms and register in accordance with the details provided in the announcement.
