ENN Energy Holdings Limited: Disclosure of Share Dealings by Morgan Stanley & Co., International plc

On 3 February 2026, ENN Energy Holdings Limited released a public disclosure form regarding a proposed privatisation by way of scheme of arrangement. According to Rule 22 of the Hong Kong Code on Takeovers and Mergers, the Executive received disclosures of dealings in ENN Energy Holdings Limited’s ordinary shares attributed to Morgan Stanley & Co., International plc.

Morgan Stanley & Co., International plc conducted transactions on 2 February 2026, reporting both the purchase and sale of ENN Energy Holdings Limited’s ordinary shares. A total of 2,200 shares were purchased for US$147,247.60, with the highest and lowest prices paid being US$67.35 and US$66.65, respectively. Additionally, 38,900 shares were sold for US$2,596,176.06, with the highest and lowest prices received noted as US$67.35 and US$66.50, respectively. These dealings were carried out as part of hedging related to Delta 1 products created by wholly unsolicited client-driven orders.

Morgan Stanley & Co., International plc is a Class (5) associate connected with the Offeror in this privatisation process. The company is ultimately owned by Morgan Stanley and undertook the transactions for its own account.
