Keppel DC REIT (AJBU) has started a private placement of new units to institutional, accredited and other investors, aiming to secure gross proceeds of no less than 600 million Singapore dollars. The issue price will be set between S$2.096 and S$2.142 per new unit after a book-building process led by DBS Bank, Oversea-Chinese Banking Corporation, Jefferies Singapore and United Overseas Bank, which are acting as joint bookrunners and underwriters.
The fundraising is intended to finance, in part, Keppel DC REIT’s planned acquisition of an 88.62 percent effective interest in two hyperscale colocation data centres in Inzai City, Greater Tokyo. About 591.1 million Singapore dollars (98.5 percent of proceeds) will be used to fund the purchase, while roughly 8.9 million Singapore dollars (1.5 percent) are earmarked for placement-related fees and expenses. Any remaining funds may be deployed for general corporate or working-capital purposes.
The placement is expected to issue up to approximately 280.1 million new units, expanding the REIT’s unit base by about 11.4 percent and potentially improving trading liquidity. The new units will rank pari passu with existing units except that they will not be entitled to an advanced distribution of between 2.241 and 2.281 Singapore cents per existing unit for the period from Jul, 1 2026 to Sep, 9 2026.
Keppel DC REIT will apply to the Singapore Exchange for in-principle approval to list the new units. Subject to regulatory clearance, the units are scheduled to be issued and begin trading on Sep, 10 2026.
