The company’s issued share capital therefore remained at 4.30 billion ordinary shares, with zero treasury shares held.
XtalPi’s authorised share capital was unchanged at 100.00 billion ordinary shares with a par value of USD 0.00001 each, equivalent to USD 1.00 million in registered capital. The company affirmed that its public float comfortably met the Hong Kong Stock Exchange’s minimum 25 % requirement.
Equity-linked securities developments:
1. Share option schemes • Pre-IPO ESOP: Outstanding options fell by 45,000 to 217.60 million after exercises; these exercises did not increase the listed share count because the underlying shares had been issued previously and are held by a shareholding platform. • Post-IPO Share Option Scheme: 0.67 million options lapsed, reducing outstanding options to 10.57 million. • 2026 Share Scheme: 34.98 million options were granted, establishing an identical number of outstanding options. • Aggregate options that could generate new shares stood at 45.55 million.
2. Convertible bonds • Zero-coupon convertible bonds due 2027 remained at HKD 2.87 billion. Full conversion at the HKD 13.85 strike price would yield up to 206.93 million new shares.
3. Restricted share units (RSUs) • Post-IPO RSU Scheme and the 2026 Share Scheme allow for a combined 20.47 million shares to be issued in the future (11.79 million and 8.68 million, respectively).
Potential dilution If all outstanding options, RSUs and convertible bonds were fully exercised or converted, up to 272.95 million additional shares could be issued—equivalent to approximately 6.3 % of the current share base.
