Grown Up Group Investment Holdings Limited announced that Independent Non-Executive Director (INED) Mr. Tsang Hing Suen will step down on 14 August 2026, citing other business commitments. Concurrently, Ms. Yip Hiu Tung will join the Board on the same date as INED, chair of the Audit Committee, and member of both the Remuneration and Nomination Committees.
Mr. Tsang’s resignation also involves relinquishing his roles as Audit Committee chair and member of the Remuneration and Nomination Committees. He confirmed no disagreement with the Board and no matters requiring shareholder attention.
Ms. Yip, aged 43, brings more than 17 years of audit, accounting and financial-management experience spanning financial services and trading sectors. She has served as Financial Controller (Finance and Accounting) of Kingkey Management Limited—a wholly owned subsidiary of Main Board-listed Jakota Capital (Holding) Group—since October 2018, overseeing group reporting for more than 40 entities, budgeting, forecasting, treasury, internal controls and compliance.
Her academic background includes a Bachelor of Science (Honours) in Business & Management (Accounting) from Brunel University (2006) and a Master of Science in Financial Service Management from the University of Surrey (2008). She is a Certified Public Accountant of the Hong Kong Institute of Certified Public Accountants. Under her appointment letter, Ms. Yip will receive an annual remuneration of HK$120,000; the two-year term is terminable with not less than seven days’ written notice by either party and is subject to rotation and re-election under the company’s articles.
Ms. Yip has met all independence criteria under Listing Rule 3.13, holds no other positions within the Group, has no relationships with substantial shareholders or directors, and possesses no shareholding in the Company.
Following Ms. Yip’s appointment, the Board now includes both male and female directors, restoring compliance with Hong Kong Listing Rule 13.92(2) on board diversity, which had lapsed after the resignation of a female executive director on 31 December 2025.
As of 14 August 2026, the Board will consist of three executive directors—Mr. Thomas Berg (Chairman), Mr. Jan Ankersen and Mr. Fong Ho Tat—and three INEDs: Ms. Yip Hiu Tung, Mr. Wong Kai Hing and Mr. Chan Ting Leuk Arthur.
