Spanish travel technology firm Amadeus announced on Wednesday its plan to acquire the public security business of French biometrics company IDEMIA from private equity firm Advent International for €1.2 billion ($1.4 billion) in an all-cash transaction.
Amadeus, which operates the world's largest travel booking system, stated that the acquisition will be immediately accretive to earnings and is expected to accelerate its expansion in airport and border checkpoint operations, while further strengthening its global market presence.
The company indicated that the combined businesses will expand Amadeus's total addressable market from €41 billion to €50 billion.
The transaction is anticipated to close by mid-2027. In addition to the base purchase price, the deal includes performance-based payments of up to €150 million.
Amadeus forecasts that the acquisition will drive high single-digit revenue growth, improve operating margins, and generate annual cost synergies of €50 million in the medium term.
IDEMIA’s public security division employs approximately 3,300 people worldwide and serves more than 600 government and corporate clients. Beyond passenger clearance services, its operations include access control, national biometric identity programs, and compliant data solutions.
