Rimbaco Restores 25% Public Float after Temporary Waiver; Aureole Cuts Stake to 75.00%

Rimbaco Group Global Limited announced that its public shareholding has returned to the Hong Kong Stock Exchange’s minimum 25% threshold following a small-scale share placement by controlling shareholder Aureole Halo Limited.

Key developments:

• Post-takeover shareholding: After Aureole’s mandatory general offer closed on 7 July 2026, the Offeror and its concert parties held 945.20 million shares, equal to 75.02 % of Rimbaco’s issued capital, leaving the public float at 24.98 % (314.80 million shares), below the HKEX minimum.

• Exchange waiver: Rimbaco applied for and, on 23 July 2026, received a temporary waiver from strict compliance with Rule 13.32B(1) of the Listing Rules, covering the period 7–23 July 2026. The waiver required public disclosure and would remain in effect unless circumstances changed.

• Share placement to independent investor: To restore compliance, Aureole placed 200,000 shares (0.02 % of total issued shares) to an independent third party on 23 July 2026.

• Resulting share structure: Following the placement, public shareholders hold 315.00 million shares, representing exactly 25 % of Rimbaco’s issued capital, while Aureole and its concert parties now control 945.00 million shares, or 75.00 %.

With the public float restored, Rimbaco is again in full compliance with HKEX listing requirements. The board is chaired by Ms. Iu Ching, who also serves as Chief Executive Officer and Executive Director. Other board members include Executive Director Dr. He Yu and Independent Non-Executive Directors Mr. Wong Chi Wai, Mr. Xiong Zeke and Ms. Zhou Yi.
