Sun Hung Kai & Co. AGM 2026: Shareholders Pass All Resolutions, Renew Director Mandates and Buyback Authority

Sun Hung Kai & Co. Limited announced that at its Annual General Meeting held on 27 May 2026, all resolutions were approved by poll with clear majorities.

• Financial Statements Adopted The audited consolidated financial statements for the year ended 31 December 2025, together with the Directors’ and Auditor’s reports, were accepted with 99.98% of votes cast in favour (1.48 billion shares).

• Board Composition Confirmed Re-election of Executive Chairman Lee Seng Huang and Independent Non-Executive Director Jacqueline Alee Leung secured 99.86% and 98.42% support respectively, maintaining stability in board leadership.

• Auditor Re-appointment Deloitte Touche Tohmatsu was re-appointed as external auditor, receiving 98.61% approval (1.46 billion shares), and the Board was authorised to determine its remuneration.

• Capital Management Mandates A fresh general mandate to issue securities passed with 98.35% support, while the share repurchase mandate achieved unanimous backing, recording 100.00% of votes in favour (1.48 billion shares). An additional resolution extending the issue mandate by the amount of shares repurchased gained 98.37% approval.

Voting Base and Scrutiny The company’s entire issued share capital of 1.96 billion shares was eligible to vote, with no abstentions or voting restrictions reported. Tricor Investor Services Limited acted as the independent scrutineer.

Directors’ Attendance All members of the ten-strong Board participated in the meeting either in person or via electronic means.

The successful passage of all items provides the Board with renewed flexibility for capital allocation and confirms shareholder endorsement of the current governance framework.
