Sino-Ocean Group Sets 29 June 2026 AGM; Agenda Covers FY2025 Results, Director Re-Elections and Share Issue Mandate

The board of Sino-Ocean Group Holding Limited has issued the notice and proxy form for its annual general meeting (AGM), to be held on 29 June 2026 at 9:30 a.m. in Beijing (31st Floor, Tower A, Ocean International Center, 56 Dongsihuanzhonglu, Chaoyang District).

Key resolutions to be tabled:

1. Financial Statements • Shareholders will vote on the adoption of the audited consolidated financial statements and directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of five directors: non-executive directors Mr. Zhang Zhongdang and Mr. Yu Zhiqiang, and independent non-executive directors Mr. Han Xiaojing, Mr. Liu Jingwei and Mr. Jiang Qi. • Authorisation for the board to determine directors’ remuneration.

3. Auditor • Proposal to re-appoint BDO Limited as external auditor and authorise the board to set its remuneration.

4. General Mandate • Ordinary resolution seeking a general mandate for the board to issue new shares of the Company.

5. Articles of Association • Special resolution to approve amendments to the existing articles of association and adopt a new set of articles.

Shareholders recorded on the register may appoint one or more proxies to attend and vote. Proxy forms must be lodged with Computershare Hong Kong Investor Services Limited at least 48 hours (excluding public holidays) before the meeting. Completion of a proxy form does not preclude shareholders from attending and voting in person, in which case the proxy will be deemed revoked.
