Sino Golf Holdings Limited (00361) announced that DOTHINK Investment Limited (the “Offeror”), through CCB International Capital Limited, has made a mandatory unconditional cash offer to acquire all issued shares not already owned or agreed to be acquired by the Offeror’s concert group. The Offer arose after the Offeror increased its stake to approximately 55.564% of Sino Golf’s issued share capital.
The Offer price is HK$0.029 per share, payable in cash, and the Offer is unconditional from the outset. Acceptance is irrevocable, and payment of the consideration is expected to be settled within seven business days after deemed valid acceptance. The Offer will remain open for acceptance until 4:00 p.m. on 24 December 2025 (or a later date announced in accordance with the Takeovers Code).
The Offeror is an indirect wholly-owned subsidiary of Hans’ Energy Group, which is principally engaged in clean energy development and specialized vehicle manufacturing. Sino Golf is listed on the Main Board, focused on manufacturing and trading golf equipment, bags, and related accessories. The Offeror intends for Sino Golf to maintain its listing status following closure of the Offer, subject to sufficient public float.
Though the Offer price is at a discount to certain historical share price levels, the Offeror has confirmed the Offer will not be raised further. No arrangement has been disclosed to privatize Sino Golf, and the Offeror has stated no plans to significantly alter the Company’s existing business activities other than normal governance and operational reviews.
