MINISO Monthly Update: 30.11 Million Shares Repurchased, Share Count Steady at 1.21 Billion

Bulletin Express10-06

MINISO Group Holding Limited released its Monthly Return for September 2026, confirming that authorised, issued and treasury share balances were unchanged while buy-backs continued at scale.

Authorised and Issued Capital • Authorised share capital remained at 10 billion ordinary shares with a par value of USD 0.00001, equating to total authorised capital of USD 100,000. • Issued shares stood at 1.21 billion, identical to the August closing level. No treasury shares were held at month-end and the company affirmed compliance with Hong Kong’s 25 % minimum public-float requirement.

Share-Based Incentive Plans • Outstanding options under the 2020 Share Incentive Plan declined marginally by 3,600 to 2.91 million after internal transfers; no new shares were issued and no treasury shares were utilised for option exercises. • The plan still allows issuance of up to 30.77 million additional shares. • Unvested restricted share units (RSUs) linked to grants in March 2024, April 2026 and September 2026 could result in a further 14.89 million shares being issued.

Share Repurchases Pending Cancellation • Between 28 August and 30 September 2026 the company repurchased 30.11 million shares—27.73 million on the Hong Kong Stock Exchange and the equivalent of 2.38 million shares (595,702 ADSs) on the New York Stock Exchange. • These shares had not been cancelled as of 30 September, therefore the total issued share count remained unchanged.

Funding and Compliance The company stated that all transactions were duly authorised and executed in compliance with Hong Kong Listing Rules, and all monies due have been received.

Key Takeaway September closed with MINISO’s share capital structure intact despite a sizeable 30.11 million-share buy-back still awaiting cancellation, while the equity incentive pool continues to provide flexibility for future employee awards.
