Jakota Capital Announces Further Delay in Circular Dispatch, Adjusts Timetable for Share Consolidation and Capital Reduction

Jakota Capital (Holding) Group has issued a notice confirming a second postponement in the dispatch of its shareholder circular tied to the planned share consolidation, capital reduction of issued shares, and sub-division of unissued shares. The circular—originally scheduled for release by 17 April 2026—will now be sent no later than 8 May 2026 to allow additional time for finalising information required under Hong Kong’s Listing Rules.

Key revised milestones are as follows:

• Circular, EGM notice and proxy form dispatch: on or before 8 May 2026.

• Book-closure for EGM eligibility: 26 May 2026 to 1 June 2026 (both days inclusive).

• Extraordinary General Meeting: 1 June 2026 at 11:00 a.m.; poll results to be announced the same day.

• Conditional on EGM approval: – Share consolidation effective: 3 June 2026, with trading in consolidated shares commencing at 9:00 a.m. the same day. – Parallel trading period for old and new certificates: 17 June 2026 to 9 July 2026. – Final date for free exchange of existing share certificates for new consolidated certificates: 13 July 2026.

• Conditional on EGM approval and subsequent court confirmation: – Capital reduction and share sub-division effective at 9:00 a.m. on 13 August 2026. – Trading in the new shares begins 13 August 2026. – Final date for free exchange into new share certificates: 14 September 2026.

Jakota Capital reiterates that the revised schedule remains subject to shareholder approval at the EGM and court sanction of the capital reduction. Any further amendments to the timetable will be communicated through separate announcements.
