Dahon Tech Proposes RMB1.118 Dividend, Auditor Re-appointment and Dual Mandates Ahead of 14 May 2026 AGM

DAHON TECH (Shenzhen) Co., Ltd. has released its 2025 AGM circular outlining five key resolutions to be voted on 14 May 2026 in Shenzhen.

Dividend Proposal • The Board recommends a 2025 cash dividend of RMB1.118 (tax-inclusive) per share. • Based on 32.79 million issued shares, the payout would total roughly RMB36.66 million, or 57.71 % of the year’s RMB63.50 million attributable profit. • Payment is scheduled on or about 18 June 2026; H-shareholders will receive Hong Kong dollars at the PBoC exchange rate set one week before declaration.

Auditor Re-appointment • Deloitte Touche Tohmatsu is proposed as external auditor for 2026, with fees capped at RMB4.00 million.

Governance & Policy Updates • Shareholders will vote on revised Measures for External Investment, which tighten decision-making procedures and risk controls to align with PRC law and HKEX rules.

Capital Authorities • Share Issue Mandate: Authorises the Board to issue up to 20 % of each of the 23.75 million domestic shares and 9.04 million H shares outstanding—equivalent to 4.75 million domestic shares and 1.81 million H shares. • Share Repurchase Mandate: Permits on-market buy-backs of up to 10 % of H shares (maximum 0.90 million shares). Repurchases may be funded with onshore or offshore resources; bought-back shares may be cancelled or held as treasury stock.

Meeting Details • Record date for H-share voting rights: 14 May 2026 (share transfer deadline 8 May 2026). • AGM venue: Room 211, Block A, Manjinghua Chuangzhi Center, Shapu Community, Songgang Sub-district, Bao’an District, Shenzhen; start time 9:30 a.m. (Beijing time).

Shareholders are advised to lodge proxy forms at Computershare Hong Kong Investor Services by 9:30 a.m. on 13 May 2026 if unable to attend in person.
