At the end of September 2026, Dizal Pharmaceutical had just announced that it received the US$600 million upfront payment from AstraZeneca for the licensing of sunvozertinib, setting a record for the upfront payment of a Chinese small-molecule innovative drug going overseas. However, even as the company's cash flow pressure was significantly eased, within just a few weeks the company successively disclosed share reduction plans by directors, supervisors, and senior management, involving 9 core executives who planned to reduce holdings by nearly 4 million shares in total. Among them, Chairman and CEO Zhang Xiaolin was the first to implement a reduction, cashing out more than RMB 110 million within just one week. As positive news landed, the core management team collectively reduced its holdings, suggesting that senior management may lack confidence in the company's future valuation upside.

Two batches of reductions cover the core operating team, with concentrated release in the fourth quarter

On September 4, 2026, Dizal Pharmaceutical issued its first share reduction plan announcement. Four core management members, including Chairman and Chief Executive Officer Zhang Xiaolin, Vice President and Chief Medical Officer Yang Zhenfan, Vice President and Chief Commercial Officer Wu Qingyi, and Vice President Zhang Zhi, planned to reduce holdings through centralized bidding by no more than 3.6201 million shares in total, accounting for no more than 0.7785% of total share capital. Among them, Zhang Xiaolin planned to reduce 2.2585 million shares, accounting for 0.4856% of total share capital, making him the largest subject of this reduction. On September 25, the company issued a second batch of reduction plans. Five people, including Vice President Zhang Shiying, Vice President Chen Suqin, Vice President Zeng Qingbei, Vice President Xu Hanzhong, and Chief Financial Officer Lu Hongbin, planned to reduce holdings by no more than 349,000 shares in total. Within three weeks, a total of 9 directors, supervisors, and senior executives of Dizal Pharmaceutical disclosed reduction plans, covering almost the entire management team. Based on the closing price on the announcement date, the two rounds were expected to cash out about RMB 240 million in total. According to reduction rules, centralized bidding transactions can only be implemented 15 trading days after the announcement, with a reduction period of 3 months. Based on this calculation, the first reduction window runs from late September to late December 2026, and the second from mid-October 2026 to mid-January 2027. The two windows overlap highly, and the fourth quarter will become a period of concentrated reduction releases, and the impact on the secondary market may continue to appear.

According to the equity change report dated October 19, 2026, between October 8 and October 16, Chairman and Chief Executive Officer Zhang Xiaolin had cumulatively reduced 1.8782 million shares through centralized bidding, accounting for 0.4038% of total share capital. The price range for this reduction was RMB 58.62 to RMB 62.38 per share, with a weighted average price of about RMB 60.25 per share, and cumulative cash-out of about RMB 113 million. After the reduction was completed, the combined shareholding ratio of Zhang Xiaolin and persons acting in concert fell from 15.4038% to 15.0000%. From a historical perspective, this was not the first reduction by core executives. In 2025, the above executives had already implemented one round of reductions. Among them, Zhang Xiaolin, Yang Zhenfan, and Wu Qingyi reduced 1.8270 million shares, 1.1540 million shares, and 302,100 shares respectively in 2025, totaling 3.2831 million shares, with total cash-out of about RMB 194 million. Lu Hongbin, Chen Suqin, and three others reduced a total of 334,000 shares in 2025, with total cash-out of about RMB 23 million. From the timing of each reduction, September, when this round of reduction plans was disclosed, was exactly the window during which AstraZeneca's US$600 million upfront licensing payment was being received one after another. The first US$300 million arrived in mid-September, and the remaining US$300 million was paid by the end of September. Executives chose to start reducing holdings at the time when the company's cash flow was most abundant and market sentiment was most optimistic, precisely seizing the best window for positive news to be realized. In the previous reduction, after the first-line clinical data for sunvozertinib was announced in May 2026, the company's stock price rose from around RMB 40 all the way to above RMB 60 in September, an interval increase of more than 50%. Executives likewise disclosed reduction plans at a phased high point. In terms of stock price changes, after the first batch of reduction plans was disclosed on September 4, the stock price fell 5.01% that day. After the second batch was disclosed on September 25, based on the first trading day after the announcement, the decline was about 6%. After the announcement of the chairman's implementation of the reduction was released on the evening of October 19, the company's stock price fell about 2% the next day.

Revenue growth cannot hide loss pressure, and product gaps become a prominent concern

From a fundamental perspective, Dizal Pharmaceutical has shown impressive revenue growth in recent years. Revenue was RMB 360 million in 2024 and jumped to RMB 801 million in 2025, year-on-year increases of 292.24% and 122.60% respectively. Revenue in the first half of 2026 was RMB 523 million, up 47.24% year on year. However, the company's loss situation has not reversed. The company's net loss attributable to shareholders was RMB 846 million in 2024 and RMB 764 million in 2025, with the loss scale still at a high level. At the cash flow level, from 2023 to 2025, the company's net cash flow from operating activities was -RMB 968 million, -RMB 651 million, and -RMB 588 million respectively, with cumulative outflows exceeding RMB 2 billion over three years. In the first half of 2026, operating cash again recorded a net outflow of RMB 274 million. In terms of business, sunvozertinib is the company's absolute revenue pillar, with sales of RMB 576 million in 2025, accounting for more than 70% of total revenue. In July 2026, the company announced that it would exclusively license the global development and commercialization rights of sunvozertinib to AstraZeneca, with a total transaction value of up to US$1.5 billion, including US$600 million in upfront payment, US$400 million in clinical milestones, US$500 million in sales milestones, and tiered sales royalties. In the short term, this transaction will significantly improve the company's balance sheet, but in the long term, the company has given up the global commercialization rights to an already validated product at a high cost. After the licensing of sunvozertinib, Gaorui Zhe (golidocitinib) became the only independently commercialized product. Gaorui Zhe is a highly selective JAK1 inhibitor used to treat relapsed or refractory peripheral T-cell lymphoma. It was approved in June 2024 and included in the national medical insurance catalog at the end of the year. However, peripheral T-cell lymphoma is a rare subtype of non-Hodgkin lymphoma, with only 15,000 to 20,000 new cases in China each year and about 50,000 to 60,000 existing patients. The market space is far smaller than that of lung cancer, and multiple competing products have already been launched, making market competition relatively intense. In terms of sales data, Gaorui Zhe recorded first-year sales of about RMB 49 million in 2024 and increased to RMB 226 million in 2025. The growth momentum is decent, but the absolute scale remains small. In terms of the follow-up pipeline, in addition to the two already marketed products, the fastest-advancing investigational product is the LYN/BTK dual-target inhibitor Birelentinib (DZD8586), currently in global Phase III clinical trials. However, the BTK track is already highly crowded, with ibrutinib, zanubrutinib, orelabrutinib, and other products already occupying major market share, and prices have fallen sharply. Although dual-target inhibitors are a research hotspot, no product has yet been approved, and clinical value remains to be verified. Another key product, DZD6008, is a fourth-generation EGFR TKI mainly targeting the C797S resistance mutation and is still in Phase I clinical trials. The fourth-generation EGFR track is already a red ocean, with similar products from Betta Pharmaceuticals, Beta Pharma, Sanhome Pharmaceutical, and other companies all entering Phase II/III clinical trials. Dizal Pharmaceutical's advantages in this track are not significant, and subsequent breakthroughs will be difficult. Other pipeline assets such as A2aR antagonists and HER2 inhibitors are all in early clinical stages. Overall, it will be difficult for the company to have another new product launched to take over within the next 3 to 5 years, and the product gap is relatively obvious. In addition, it is worth mentioning that the early research and development work for sunvozertinib was completed by the core team during their time at AstraZeneca, and the company took over the project after its establishment. Its success is more the result of transforming existing assets. Whether the company's independently developed follow-up products can replicate the success of sunvozertinib, and its sustainable innovation capability, still need time to verify.
