PFHL Privatisation by Public Bank Berhad: Scheme Document Dispatch Deadline Moved to 12 Nov 2026

Bulletin Express09-29

Public Bank Berhad (PBB) and Public Financial Holdings Limited (PFHL) jointly announced an extension for dispatching the scheme document related to PBB’s proposed privatisation of PFHL and the consequent delisting of PFHL from the Hong Kong Stock Exchange.

Under Rule 8.2 of Hong Kong’s Takeovers Code, the scheme document was originally due by 29 September 2026—21 days after the 8 September 2026 joint announcement. Because additional time is required for a Bermuda court directions hearing and for finalising information—including the Independent Financial Adviser’s letter—the parties sought regulatory consent to extend the deadline. The Securities and Futures Commission’s Executive has indicated its willingness to grant an extension, shifting the latest dispatch date to 12 November 2026.

A detailed timetable for the privatisation scheme and delisting will be provided in the forthcoming scheme document and a subsequent joint announcement. Implementation of the scheme remains conditional upon satisfaction or waiver of all prescribed conditions by the long-stop date. Shareholders are advised to exercise caution when dealing in PFHL securities until further notice.

The boards of PBB and PFHL accept responsibility for the accuracy of the information contained in the announcement dated 29 September 2026.
