Life Concepts Holdings Sets 30 Sep 2026 AGM; Board Seeks Approval for 20% Share Issue Mandate, 10% Buy-Back Authority and Five Director Re-elections

Life Concepts Holdings Limited has issued a circular convening its 2026 Annual General Meeting (AGM) for 30 September 2026 at 2:30 p.m. in Sheung Wan, Hong Kong. Shareholders will vote on director re-elections, renewed share issue and buy-back mandates, and related resolutions.

Key agenda items 1. Director re-elections: Executive directors Xu Qiang (Chairman & CEO), Wu Liyu, Chan Tai Neng and Ho Kwok Wai, together with independent non-executive director Hui Hung Kwan, will retire and offer themselves for re-election. The Nomination Committee and the Board endorse all five candidates, citing satisfactory performance and board-diversity contributions.

2. Share Issue Mandate: The Board seeks authority to allot, issue or otherwise deal with new shares and resell treasury shares up to 20% of the company’s issued share capital (excluding any treasury shares) as at the AGM date. Based on the current 113.41 million issued shares, the mandate would allow issuance of up to 22.68 million shares.

3. Share Buy-Back Mandate: The company proposes authority to repurchase up to 10% of issued shares (excluding any treasury shares), equating to a maximum of 11.34 million shares. The Board states that repurchases will depend on market conditions and funding capacity and will not reduce public float below the 25% threshold.

4. Extension of Issue Mandate: Subject to passage of the above mandates, the number of shares repurchased under the Buy-Back Mandate may be added to the Issue Mandate, effectively expanding issuance headroom by up to an additional 10%.

Meeting logistics • Record date: 30 September 2026; share transfer books close 25–30 September 2026 (both days inclusive). • Proxy forms must be lodged with Boardroom Share Registrars (HK) Limited no later than 48 hours before the meeting. • All AGM resolutions will be decided by poll in accordance with GEM Listing Rules.
