ECARX to Acquire Flyme Software Business, Targets System Upgrades and Auto 3.0 Launch This Year to Advance AI Agent Strategy

The global automotive intelligent full-stack solutions provider ECARX Holdings Inc (ECX.US) announced on June 22nd that it has entered into a definitive agreement to acquire the Flyme software business. This acquisition includes the core products Flyme Auto intelligent cockpit operating system and the cross-device Flyme OS. The company will obtain the related software business and core assets by acquiring Hubei Qiguang Technology Co., Ltd., a company specifically spun off by Xingji Meizu Group for this purpose. The total transaction value is 1.8 billion Chinese yuan (approximately 266 million US dollars).

This transaction will further enhance ECARX's end-to-end operating system capabilities, solidifying the foundation for the implementation of its core "All in AI Agent" strategy. As one of China's leading intelligent terminal operating systems, Flyme OS boasts over 15 years of technical accumulation and product iteration experience. The Flyme Auto system it developed is one of the most widely adopted intelligent cockpit operating systems in China.

From a business perspective, Flyme has established mature business models including software licensing, customized technology development, and intelligent cockpit solution delivery. It achieved profitability in 2026, validating the sustainability and long-term growth potential of its business model. Currently, in collaboration with several major automakers, ECARX has deployed Flyme Auto in over 2 million mass-produced vehicles, accumulating extensive experience in large-scale delivery.

It is noteworthy that ECARX emphasized its ongoing commitment to the Flyme business and its users. Following the acquisition's completion, ECARX will establish an independent software division to operate the Flyme business, ensuring a smooth continuation of R&D work and seamless service for automotive clients. Concurrently, the company will provide an additional 200 million yuan in operational funding to Hubei Qiguang Technology to offer stable resource support for the Flyme team's continued R&D and business expansion. Relevant user data will continue to belong to Meizu, which will remain responsible for its subsequent operation and maintenance.

Addressing the product update concerns of Meizu's broad user base, ECARX clarified that it will continue to support the iterative upgrades of the Flyme platform and its full range of operating systems, with a focus on advancing the development of the AI Agent version. The product roadmap for this year is clear: existing Meizu smartphone users will receive a major system upgrade, and the new Flyme Auto 3.0 in-vehicle system will be officially launched, further enhancing product experience and intelligent capabilities.

ECARX Holdings Inc CEO Mr. Shen Ziyu stated that this acquisition is a significant step for ECARX in advancing the "software-defined vehicle" concept and its "All in AI Agent" strategy. In the future, ECARX will also collaborate with the Flyme R&D team to continuously optimize the integrated smartphone-vehicle intelligent experience, promote the fusion and application of AI capabilities across multiple device scenarios, expand the scale of its intelligent cockpit software licensing business to global automakers, and accelerate the implementation of the company's smart mobility strategy.
