Hong Kong – Kidztech Holdings Limited confirmed that every item on the agenda at its 29 June 2026 Annual General Meeting (AGM) secured 100% shareholder support, underscoring solid investor alignment with the Board’s proposals.
All seven resolutions – six ordinary and one special – were approved by poll, based on 4.90 million valid votes cast entirely in favour and none against. Key outcomes include:
1. Financial Statements Endorsed • Audited consolidated results for the year ended 31 December 2025, along with the directors’ and independent auditor’s reports, received full approval.
2. Board Composition and Remuneration • Re-election of Mr Zhu Qiang (Executive Director), Ms Zheng Jingyun (Non-executive Director) and Ms Wang Shiling (Independent Non-executive Director). • The Board is authorised to determine directors’ remuneration for the financial year ending 31 December 2026.
3. Auditor Re-appointment • McMillan Woods (Hong Kong) CPA Limited was re-appointed as external auditor, with remuneration to be set by the Board.
4. Capital Management Mandates • A fresh mandate permits the Board to allot, issue or deal with new shares up to 20% of issued capital. • A separate mandate allows repurchase of up to 10% of issued shares. • The issuance mandate can be extended by the number of shares repurchased.
5. Special Resolution – Company Name Change • Shareholders sanctioned the proposed change of company name, achieving the required 75% threshold with unanimous support.
Meeting Statistics • Total shares in issue and entitled to vote: 874.39 million. • No treasury shares existed; no shareholders were required to abstain or voted against any resolution. • Tricor Investor Services Limited acted as scrutineer for the poll. • Four of seven directors attended, while three were absent due to business commitments.
The sweeping approval equips Kidztech with fresh corporate authorities as it proceeds into the 2026 financial year under a forthcoming new name.
