AIA’s June Filing Shows 1.02% Net Share Count Reduction After 107.42 Million-Share Buyback

Hong Kong—AIA Group Limited (AIA) has reported a net decrease of 106.36 million ordinary shares for June 2026, cutting its outstanding share capital by 1.02% to 10.35 billion shares as of 30 June 2026. The update was disclosed in the insurer’s Monthly Return for Equity Issuers filed on 7 July 2026.

Share Repurchases • AIA cancelled 107.42 million shares on 18 June 2026, representing the shares bought back on-market between 4 May and 8 June. • These cancellations accounted for virtually the entire monthly share reduction and equate to approximately 1.03% of the 10.45 billion shares outstanding at end-May.

Equity Issuance • 1.06 million new shares were issued upon exercise of awards under the Agency Share Purchase Plan, generating HKD 8.31 million in proceeds. • No treasury shares were held or transferred during the month.

Employee Equity Schemes (selected balances at 30 June 2026) • 2010 Share Option Scheme: 9.42 million options outstanding. • 2020 Share Option Scheme: 13.73 million options outstanding; capacity for a further 262.09 million option-related shares. • Restricted Share Unit Scheme: 46.75 million units outstanding. • Employee Share Purchase Plan: 5.30 million units outstanding. • Agency Share Purchase Plan: 3.01 million units outstanding after the June exercises.

Public Float AIA confirmed compliance with the Main Board’s minimum 25% public float requirement at month-end.

AIA has no outstanding warrants, convertibles, or other equity-linked instruments beyond the disclosed employee share plans.
