Asymchem Calls 17 April 2026 H-Share Class Meeting to Vote on Restricted A-Share Buyback and Articles Revision

Asymchem Laboratories (Tianjin) Co., Ltd. has scheduled its first H-share class meeting of 2026 for 17 April 2026, immediately after the company’s extraordinary general meeting and A-share class meeting. The on-site session will be held at No. 71, 7th Street, Economic-Technological Development Area, Tianjin, PRC.

Key items on the agenda—each tabled as a special resolution—are:

1. Repurchase and cancellation of a portion of restricted A shares granted under the 2025 A-Share Incentive Scheme, as proposed on 19 December 2025.

2. Repurchase and cancellation of additional restricted A shares granted under the same scheme, based on the proposal dated 13 March 2026.

3. Amendments to the company’s Articles of Association.

Eligible H-shareholders may appoint the meeting chairman or another proxy to vote. Proxy forms and any accompanying powers of attorney must reach the company’s Hong Kong share registrar, Computershare Hong Kong Investor Services Limited, by 2:00 p.m. on 16 April 2026—24 hours before the meeting convenes.

Attendance requires presentation of valid identification by shareholders or their duly authorised proxies. Completion or submission of the proxy form does not preclude a shareholder from attending and voting in person; in such cases, the proxy appointment will be deemed revoked.

The resolutions will be decided by poll, and abstentions will be counted as valid votes for quorum and tally purposes.
