MING YUAN CLOUD (00909) Shares Acquired by Executive Directors and Controlling Shareholders

MING YUAN CLOUD (00909) announced that its executive directors and controlling shareholders, Mr. Gao Yu (Mr. Gao), Mr. Chen Xiaohui (Mr. Chen), and Mr. Jiang Haiyang (Mr. Jiang), have increased their shareholdings in the company (collectively referred to as the "Acquisition").

On December 22, 2025, Mr. Gao, through his controlled entity GHTongRui Investment Limited (GHTongRui), purchased a total of 1 million company shares in the open market at an average price of approximately HK$3.10 per share, representing about 0.05% of the company's total issued shares (including treasury shares) as of the announcement date. Following the Acquisition, GHTongRui and Mr. Gao directly hold 377 million shares and are deemed to have interests in 377 million shares, accounting for approximately 19.51% and 19.51% of the company's total issued shares (including treasury shares), respectively.

On the same date, Mr. Chen, through his controlled entity HengXinYuan Investment Limited (HengXinYuan), acquired 1 million company shares in the open market at an average price of around HK$3.09 per share, representing about 0.05% of the total issued shares (including treasury shares). Post-Acquisition, HengXinYuan and Mr. Chen directly hold 264 million shares and are deemed to have interests in 268 million shares, accounting for approximately 13.65% and 13.86% of the total issued shares (including treasury shares), respectively.

Additionally, Mr. Jiang, via his controlled entity LINGFAN Investment Limited (LINGFAN), purchased 500,000 company shares in the open market at an average price of HK$3.08 per share, representing approximately 0.03% of the total issued shares (including treasury shares). After the Acquisition, LINGFAN and Mr. Jiang directly hold 162 million shares and are deemed to have interests in 162 million shares, accounting for about 8.39% and 8.39% of the total issued shares (including treasury shares), respectively.

As informed by Mr. Gao, Mr. Chen, and Mr. Jiang, the Acquisition reflects their strong confidence in the group's overall development prospects and growth potential. They do not rule out further increasing their shareholdings in the company at appropriate opportunities, subject to compliance with applicable laws and regulatory requirements.
