ROBOTPHOENIX Intelligent Technology Co., Ltd. will convene its 2025 Annual General Meeting (AGM) on Monday, 29 June 2026 at 2:00 p.m. The session will be held at Building E, Digital Economy Industrial Park (Nanwan Zhigu), No. 1261 Jinhai Avenue, Yuhuan Economic Development Zone, Taizhou, Zhejiang Province, PRC.
Key matters slated for shareholder approval are: 1. Adoption of the accountant’s report for the financial year ended 31 December 2025. 2. Re-appointment of Ernst & Young as auditor for the 2026 financial year, with remuneration to be set by management. 3. Granting the Board a general mandate to issue shares. 4. Granting the Board a general mandate to repurchase shares.
Voting will be conducted by poll in accordance with Hong Kong Listing Rules, and results will be disclosed on the websites of Hong Kong Exchanges and Clearing Limited and the company (www.robotphoenix.com) following the meeting.
The share register will be closed from Wednesday, 24 June 2026 to Monday, 29 June 2026, inclusive. Share transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on Tuesday, 23 June 2026 for shareholders to qualify to attend and vote.
Proxy forms, accompanied by notarised authorisations where applicable, must be deposited with Tricor Investor Services Limited no later than 2:00 p.m. on Sunday, 28 June 2026. Completion of a proxy form does not preclude shareholders from attending and voting in person.
The Board is chaired by Executive Director Dr. Zhang Sai. As of the notice date (5 June 2026), the Board comprises four executive directors, three non-executive directors and four independent non-executive directors.
