Renze Harvest to Vote on FY2025 Results, Board Changes and 20% Issuance Mandate at 8 June AGM

Renze Harvest International Limited will convene its Annual General Meeting on 8 June 2026 at 2:00 p.m. in Wanchai, Hong Kong.

Key resolutions up for shareholder approval are as follows:

1. FY2025 Results • Receive and adopt the audited consolidated financial statements and the accompanying directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-elect Mr. Zhang Chi as non-executive director and Ms. Zhang Juan as independent non-executive director. • Authorise the board to determine directors’ remuneration.

3. Auditor Re-appointment • Re-appoint Moore CPA Limited as external auditor and empower the board to fix its fees.

4. Share Capital Authorities • Authorise directors to issue and allot new shares up to 20% of the company’s issued share capital during the mandate period. • Authorise share repurchases of up to 10% of issued shares on the Stock Exchange. • Extend the issuance mandate by the number of shares repurchased, provided both mandates are approved.

5. Administrative Details • Share register closure: 3 June 2026 to 8 June 2026, inclusive. Shareholders must lodge transfer documents with Tricor Investor Services by 4:30 p.m. on 2 June 2026 to qualify for attendance and voting. • Board composition as of the notice date (30 April 2026): two executive directors (Li Minbin, Liu Jiaxin), one non-executive director (Zhang Chi) and three independent non-executive directors (Zhao Yizi, Zhang Juan, Chan Manwell).

All resolutions will be proposed as ordinary resolutions requiring simple majority approval. The mandates, if granted, remain valid until the earlier of the next AGM, the statutory deadline for holding that meeting or any revocation by shareholders in general meeting.
