Star Sports Medicine: Shareholders Green-Light Supervisory Board Abolition, Pass All AGM Resolutions, No 2025 Dividend

Star Sports Medicine Co., Ltd. (Star Sports Medicine) reported that all 13 resolutions tabled at its Annual General Meeting (AGM) on 26 June 2026 were approved by poll, marking several governance and capital-management changes.

AGM turnout and voting dynamics • Issued share capital: 54.83 million shares. • Shareholders (in person or by proxy) represented 41.64 million voting shares, a 75.95% participation rate for most items. • For the remuneration item involving interested parties (Resolution 8.1), 25.30 million shares were eligible, with 16.42 million votes cast, reflecting 64.90% participation after required abstentions.

Key resolutions adopted 1. Governance overhaul: A special resolution abolished the Board of Supervisors. From the effective date of the amended Articles of Association (26 June 2026), oversight functions transfer to the Board’s Audit Committee, and the existing Supervisors are relieved of duty. 2. Charter revisions: Shareholders approved comprehensive amendments to the Articles of Association and the Rules of Procedure for shareholders’ meetings and board operations. 3. Capital authorisations: General mandates to repurchase H shares and to issue shares were granted, with the issuance mandate receiving 99.99% support. 4. Management compensation: Separate resolutions set remuneration and allowances for executive directors, non-executive directors and senior management for 2026; all passed unanimously after exclusion of votes from interested shareholders on item 8.1. 5. Routine business: The 2025 board and supervisory reports, audited financial statements, 2026 budget, re-appointment of Ernst & Young Hua Ming LLP as auditor, and independent director allowances for 2026 were all approved with 100% of valid votes in favour.

Dividend decision Shareholders endorsed the board’s proposal not to distribute profits for the year ended 31 December 2025.

Board attendance and vote scrutiny All directors and senior management attended the AGM. Computershare Hong Kong Investor Services Limited acted as vote counter and scrutineer for H-share ballots.

The approved changes take effect from the AGM date unless otherwise specified.
