CGN Power Reshuffles Company Secretarial Roles and Relocates Hong Kong Office

CGN Power Co., Ltd. (CGN Power) will implement several senior administrative changes and move its Hong Kong base on 1 July 2026.

Key management changes • Ms. Ng Sau Mei will step down as Joint Company Secretary, Authorized Representative under Listing Rule 3.05, and Process Agent under Part 16 of the Hong Kong Companies Ordinance. She confirmed no disagreement with the board and no matters requiring shareholder attention. • Ms. Oh Sim Yee, currently Assistant Manager at SWCS Corporate Services Group (Hong Kong) Limited, will succeed Ms. Ng in all three capacities on the same effective date. Ms. Oh brings 12 years of corporate secretarial experience, is an associate member of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK), and holds a Bachelor of Business (Accounting) from Victoria University, Australia. • Post-transition, Ms. Oh will serve alongside Mr. Yin Engang, who was confirmed by the Stock Exchange in August 2023 as meeting the qualifications for company secretary under Listing Rules 3.28 and 8.17. Mr. Yin will continue as Joint Company Secretary, Chief Financial Officer, and Board Secretary, while Mr. Pang Songtao will remain an Authorized Representative.

Change of principal place of business Effective 1 July 2026, CGN Power’s principal place of business in Hong Kong will move to: 40th Floor, Dah Sing Financial Centre, 248 Queen’s Road East, Wanchai, Hong Kong.

Board acknowledgment The board expressed appreciation to Ms. Ng for her service and welcomed Ms. Oh to her new roles. As of the announcement date (30 June 2026), the board comprises one executive director, four non-executive directors, and three independent non-executive directors.
