SANY HEAVY IND's Subsidiary to Establish Asset-Backed Securities Program

SANY HEAVY IND announced that on March 30, 2026, its board of directors approved a plan for its controlling subsidiary, SANY Financial Leasing Co., Ltd., to establish an asset-backed specific plan and apply for the registration and issuance of financial lease asset-backed securities with a total value not exceeding RMB 9 billion. Under this specific plan, SANY Leasing intends to use the financial lease receivables and their associated security interests, generated during its operations, as the underlying assets. The shelf size of the specific plan will not exceed RMB 9 billion and may be issued in one or multiple tranches. The proposed ABS issuance will be divided into senior ABS and subordinated ABS, and may utilize a rollover or non-rollover issuance model. Specific details will be subject to the final terms of the established specific plan. Furthermore, the company's controlling shareholder, SANY Group Co., Ltd., intends to subscribe for all of the subordinated ABS under the proposed issuance, with a cumulative subscription amount not exceeding RMB 1 billion. The company itself intends to act as the liquidity shortfall payment guarantor, firmly committing to cover any shortfall if funds in the specific plan account are insufficient to pay relevant taxes, fees, and the expected returns for the senior ABS.
