Yida China sets 2 Jun 2026 AGM; director re-elections and auditor fee up to RMB3.80 million on agenda

Yida China Holdings Limited will hold its 2026 Annual General Meeting (AGM) on 2 June 2026 at 10:00 a.m. in Dalian. Shareholders will vote on four ordinary resolutions:

1. Adoption of the audited consolidated financial statements for the year ended 31 December 2025.

2. Re-election of three retiring directors: • Executive Director – Yuan Wensheng (appointed March 2023) • Non-Executive Director – Jiang Qian (appointed February 2022) • Independent Non-Executive Director – Guo Shaomu (serving since June 2014; separate resolution required due to tenure exceeding nine years).

3. Authorisation for the board to fix directors’ remuneration.

4. Re-appointment of Prism Hong Kong Limited as external auditor for FY 2026, with an estimated audit fee ranging from RMB3.50 million to RMB3.80 million.

Key procedural details: • Shareholders’ register will be closed from 28 May 2026 to 2 Jun 2026 (both days inclusive); the record date is 2 Jun 2026. • Proxy forms must reach Computershare Hong Kong Investor Services no later than 48 hours before the meeting.

The Nomination Committee confirmed the independence of Mr. Guo Shaomu after reviewing his written confirmation under Listing Rule 3.13 and considered all three candidates bring complementary skills and experience to the board.
