China Gas Sets 24 June 2026 SGM to Vote on 2026 Share Award Scheme and 462 Million Share Grants to Directors

China Gas Holdings Limited will convene a Special General Meeting (SGM) at 10:00 a.m. on 24 June 2026 at China Gas Building, 188 Meiyuan Road, Luohu District, Shenzhen. Shareholders will consider five ordinary resolutions focusing on equity incentives and related authorisations.

Key items on the agenda:

1. Adoption of the 2026 Share Award Scheme.

2. Conditional approval of the overall Scheme Mandate Limit for issuing award shares under the new scheme.

3. Conditional approval of a Service Provider Sub-limit, setting a separate cap for awards to non-employee service providers.

4. Conditional approval of director-specific share grants totalling 462.00 million award shares: • Mr. Liu Ming Hui: 270.00 million • Mr. Huang Yong: 54.00 million • Mr. Zhu Weiwei: 48.00 million • Dr. Liu Chang: 45.00 million • Dr. Liu Mingxing: 45.00 million

5. Authorisation for any director to execute documents and perform acts necessary to implement the approved director grants.

Shareholders recorded on the Company’s register may appoint the SGM chairman or another proxy to vote on their behalf. Completed proxy forms must be lodged with Computershare Hong Kong Investor Services Limited at least 48 hours before the meeting.
