TME issues US$1.00 billion dual-tranche senior notes for Hong Kong professional investors

Tencent Music Entertainment Group (TME) has launched a US$1.00 billion offering of senior unsecured notes, split into two equal tranches. • Tranche 1: US$0.50 billion 5.050% notes maturing in 2031. • Tranche 2: US$0.50 billion 5.650% notes maturing in 2036. Both series are listed on the Hong Kong Stock Exchange under Chapter 37 and are intended solely for purchase by professional investors. Interest is payable semi-annually, and TME may redeem the notes early under specified conditions. Proceeds are earmarked for general corporate purposes, including debt refinancing and share repurchases. The notes rank as senior unsecured obligations of the Cayman-incorporated issuer and are structurally subordinated to liabilities of subsidiaries and consolidated variable interest entities (VIEs). TME’s prospectus highlights: • Potential additional amounts payable if withholding taxes are imposed. • Optional redemption in the event of adverse tax changes. • Repurchase at 101% of principal plus interest upon a “Triggering Event” tied to PRC regulatory changes affecting the VIE structure. The offering is conducted under an automatic shelf registration with the U.S. SEC. J.P. Morgan, Goldman Sachs (Asia) and HSBC act as joint bookrunners; UBS, Bank of China and MUFG are joint lead managers. TME confirms no offer is made to Hong Kong retail investors and emphasizes the inherent risks linked to its VIE structure, PRC regulatory environment and possible future U.S. trading prohibitions under the HFCAA.
