Massive Share Transfer at SMOORE INTL Totals HK$4.335 Billion

Hong Kong Stock Exchange filings show that on July 29, SMOORE INTL (06969) experienced a significant change in its shareholding structure, with a total transfer value of HK$4.335 billion, representing 8.08% of the company's issued shares.

The company's shareholder transferred 500 million shares into Citibank, while simultaneously transferring the same amount out of Hong Kong and Shanghai Banking Corporation (HSBC).

Earlier, SMOORE INTL announced that on July 3, 2026, EVE Energy (300014.SZ) had obtained board approval for its wholly-owned subsidiary, EVE Battery Investment Ltd. (EVE Battery), to reduce its stake in the company by no more than 3.5% of the total issued shares (approximately 217 million shares) within one year from the date of board approval. This reduction, termed the "New 3.5% Sale," would be executed through methods such as block trades and centralized bidding transactions.

The actual implementation of this reduction is subject to various factors, including the timing and price of the sale, and remains uncertain. Investors are advised to be aware of the associated investment risks.

As of July 3, 2026, EVE Battery held approximately 1.874 billion shares of the company, accounting for about 30.25% of the total issued shares. EVE Battery is directly owned by EVE Asia Limited, which is itself a wholly-owned subsidiary of EVE Energy. Ms. Jiang Min, a non-executive director of SMOORE INTL, serves as a director, board secretary, vice president, and chief financial officer at EVE Energy.

Assuming EVE Energy completes the above-mentioned New 3.5% Sale, it will cease to be a controlling shareholder of the company thereafter.
