SUNAC maintains share capital in July; 4.86 billion potential new shares tied to 2028 mandatory convertibles

Sunac China Holdings Limited reported no changes in either authorised or issued share capital for the month ended 31 July 2026. Authorised share capital remained at 30 billion ordinary shares with an aggregate nominal value of HKD 3.00 billion, while issued shares held steady at 19.97 billion.

The company confirmed that its public float continued to meet the Main Board’s 25% threshold.

Convertible securities • Zero-coupon mandatory convertible bonds due 2028 (issued 23 December 2025) stood unchanged at USD 2.40 billion. • At the conversion price of HKD 3.85, these bonds could be exchanged for up to 4.86 billion new ordinary shares, representing approximately 24.35% of Sunac’s existing issued share base.

Equity incentive pipeline • An Employee Stock Ownership Plan, approved on 9 September 2025, provides for up to 284.56 million share awards. No shares were issued under this plan during July.

No warrants, share options, repurchases, or treasury share movements were recorded in the period.
