Wynn Macau Maintains Stable Share Base in August; 5.27 B Shares Outstanding, No New Issuance

Wynn Macau, Limited reported no changes to its share capital structure for the month ended 31 August 2026, according to its latest monthly return filed with Hong Kong Exchanges and Clearing Limited on 4 September 2026. The authorised share capital remains at 20 billion ordinary shares with a par value of HKD 0.001 each, equivalent to HKD 20.00 million.

The company closed August with 5.27 billion issued shares and zero treasury shares, identical to the figures reported a month earlier. Consequently, there were no new shares issued, no share cancellations, and no movements in treasury stock during the period. Wynn Macau also confirmed that it continued to meet the Main Board’s minimum public-float threshold of 25%.

Stock-based incentive plans showed no exercises in August. Outstanding options totalled 43.76 million units across three approved schemes: • 2009 Scheme: 6.16 million options outstanding, all exercisable. • 2019 Scheme: 22.74 million options outstanding, with 19.02 million shares available for future issuance. • 2023 Scheme: 14.86 million options outstanding; the scheme still allows up to 482.07 million additional shares to be granted.

The company’s US$600 million 4.50% convertible bonds due 2029 also recorded no conversions in August. At the HKD 9.02275 conversion price, the notes could translate into a maximum of 521.99 million new shares if fully converted.

With no equity dilution events and continued compliance with listing rules, Wynn Macau’s capital structure and share count remained unchanged through August 2026.
