CNOOC Limited will convene its 2025 Annual General Meeting on 3 June 2026 at 10:00 a.m. at the Island Shangri-La Hotel, Hong Kong. The proxy form circulated to shareholders outlines nine ordinary resolutions to be put to vote.

Key agenda items 1. Financial statements: Shareholders will consider and receive the audited accounts, the independent auditors’ report and the directors’ report for the year ended 31 December 2025. 2. Board composition: The meeting proposes the re-election of four directors—Mr Zhang Chuanjiang (Non-executive), Mr Huang Yongzhang (Executive), Prof Lin Boqiang (Independent Non-executive) and Ms Li Shuk Yin Edwina (Independent Non-executive). 3. Remuneration: The board seeks authority to set future remuneration schemes and the remuneration of each director. 4. Auditor appointment: Ernst & Young Hua Ming LLP and Ernst & Young are nominated as domestic and overseas independent auditors, respectively, for the 2026 fiscal year, with the board authorised to fix their fees. 5. Dividends: • Final dividend for FY2025 – shareholders will vote to declare the payment. • Interim dividend for FY2026 – the board requests authorisation to determine the declaration plan and manage all related matters.

Voting mechanics • Shareholders may appoint any individual—or by default, the chairman of the meeting—as proxy. • Completed proxy forms must be lodged with Computershare Hong Kong Investor Services at least 36 hours before the meeting.
