Tongcheng Travel Issues 6,000 New Shares in July; Outstanding Options Reach 115.38 Million, Public Float Intact

Hong Kong–listed online travel platform Tongcheng Travel Holdings Limited reported a marginal increase in its issued share capital for the month ended 31 July 2026, according to its latest monthly return filed with Hong Kong Exchanges and Clearing Limited on 4 August 2026.

• Share capital – Authorised share capital remained unchanged at 3.00 billion ordinary shares with a par value of USD 0.0005, representing total authorised capital of USD 1.50 million.

• Issued shares – Total issued shares (excluding treasury shares) rose by 6,000 to 2,354.32 million. – The incremental issuance stemmed from the exercise of 6,000 options under the 2018 Share Incentive Plan (exercise price: HKD 9.80), generating HKD 0.06 million in proceeds. – Tongcheng Travel held no treasury shares at month-end.

• Public float – The company confirmed compliance with the Main Board’s minimum 25% public-float requirement as of 31 July 2026.

• Employee share-based incentives – Aggregate outstanding share options across all active plans totalled 115.38 million units at month-end. – Key plans include: 1) 2018 Share Incentive Plan: 27.26 million options outstanding across three tranches (exercise prices: RMB 2.60, RMB 5.50 and HKD 9.80). 2) 2019 Share Option Plan: 28.00 million options outstanding (exercise prices: HKD 12.428, HKD 14.436, HKD 18.560). 3) 2022 Share Option Plan: 39.12 million options outstanding (exercise prices: HKD 17.120 and HKD 15.516). 4) 2024 Share Scheme: 21.00 million options outstanding; an additional 2.25 million shares remain available for future grants.

No warrants, convertible securities, treasury-share movements, or other share-issuance arrangements were reported for the period.

The filing was submitted by Company Secretary Ma Li, confirming adherence to all applicable Hong Kong Listing Rules and regulatory requirements.
