(hereinafter referred to as "Zhongji Innolight") issued a Hong Kong stock announcement stating that the company's board meeting will be held on October 29, at which it will review matters including changing the purpose of the A-share shares repurchased in September 2026 and canceling all relevant shares.
Looking back, Zhongji Innolight Co.,Ltd. held a board meeting on August 31 this year and approved a share repurchase plan, intending to repurchase the company's A-share shares with its own funds or self-raised funds, with a total repurchase amount of no less than 4 billion yuan and no more than 8 billion yuan, and a repurchase price of no more than 1,200 yuan per share. The repurchased shares were originally planned to be used to implement an equity incentive plan or an employee stock ownership plan.
On September 1, the company disclosed the repurchase report and the first share repurchase announcement. As of September 23, 2026, this repurchase has been completed. Through a special securities account for share repurchases, the company cumulatively repurchased 5.6531 million shares through centralized bidding transactions, accounting for 0.48% of the company's total share capital. The highest transaction price was 944.68 yuan per share, the lowest transaction price was 806.93 yuan per share, and the total amount paid was approximately 4.997 billion yuan (excluding transaction fees).
If all repurchased shares are canceled this time, the company's total share capital will decrease accordingly, which is expected to slightly increase earnings per share and reflect the company's emphasis on shareholder returns and capital allocation efficiency. At the same time, the cancellation arrangement will help optimize the share capital structure. The relevant matters still need to be reviewed by the company's board of directors and are subject to the shareholders' meeting review and statutory procedures such as reducing registered capital.
