Softcare Posts Stable Share Capital for October 2026; Affirms Public Float Compliance

Bulletin Express11-02 18:04

Softcare Limited (Softcare) has filed its Monthly Return for Equity Issuer with Hong Kong Exchanges and Clearing Limited for the period ended 31 October 2026, confirming a month of unchanged capital structure and continued adherence to public float rules.

Softcare’s authorised share capital remained at 1.00 billion ordinary shares with a par value of USD 0.0001 each, equivalent to USD 0.10 million. The issued share count was steady at 620.81 million ordinary shares, and the company held no treasury shares. No shares were issued, repurchased, or cancelled during the month.

The company confirmed that it met the Main Board’s minimum public-float requirement of 15% as at 31 October 2026.

Share-based incentive activity was minimal. Under the Pre-IPO Share Option Scheme (adopted 15 January 2025), 985,389 options were outstanding, with up to 66,602 shares still available for issue; none were exercised in October, resulting in zero proceeds. The Post-IPO Share Option Scheme (adopted 27 October 2025) had no outstanding options, yet authorises the potential issuance of up to 60.59 million shares. There were no warrants, convertible securities, or other equity-linked instruments outstanding.

With no changes in share capital and a reaffirmed public float position, Softcare enters November 2026 maintaining its existing equity base and substantial option capacity for future incentive grants.
