Ribo Life Science releases proxy details for 2025 AGM; shareholders to vote on profit distribution, equity incentives and governance overhaul

Suzhou Ribo Life Science Co., Ltd. has circulated the proxy form for its 2025 Annual General Meeting, which will convene at 1:30 p.m. on Friday, 5 June 2026 at F3, 3B-2 China Resources Life Sciences Park, Tower 3, 16 Baoshen South Street, Daxing, Beijing.

Key ordinary resolutions to be tabled: 1. Approval of the Group’s 2025 annual report. 2. Endorsement of the 2025 profit-distribution plan. 3. Confirmation of the 2026 directors’ remuneration plan with authorisation for the Board to finalise specific amounts. 4. Re-appointment of Ernst & Young as external auditor with Board-level authority to set fees. 5. Amendments to the Corporate Governance Rules.

Special resolutions will ask shareholders to: • Adopt a new H-Share Option Scheme and a separate H-Share Incentive Scheme, including approval of the overall scheme limit and a specific sub-limit for service providers. • Authorise the Board or designated persons to handle all matters related to the above schemes. • Cancel the Supervisory Committee and amend both the Articles of Association and the Rules of Procedures accordingly. • Grant a general mandate to issue additional shares and a separate mandate to repurchase H shares.

Voting logistics: Shareholders may appoint one or more proxies; if no name is specified, the meeting chairman will act as proxy. Completed proxy forms, together with any supporting authority documents, must reach Computershare Hong Kong Investor Services Limited (17M/F, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong) by 1:30 p.m. on Thursday, 4 June 2026—24 hours before the meeting. Each fully paid share carries one vote; in joint holdings, the most senior holder present casts the deciding vote.

Personal data supplied on the proxy form will be used solely for processing the AGM voting instructions and may be transferred to service providers or parties authorised by law for this purpose. Data will be retained only as long as necessary to fulfil these functions.
