Shandong Xinhua Pharmaceutical Company Limited has called its first Extraordinary General Meeting (EGM) of 2026 for 10 November 2026 at 2:00 p.m. in Zibo, Shandong Province. The sole agenda item is an ordinary resolution to approve the appointment of Liu Weimin, aged 47, as an executive director.

• Candidate profile: Liu Weimin is a senior economist with 25 years of experience in enterprise management. His career includes senior managerial roles at Hualu Holding Group Co., Ltd., the company’s controlling shareholder, and he has served as Secretary of Shandong Xinhua Pharmaceutical’s Party Committee since September 2026.
• Proposed term: From the date of shareholder approval at the EGM until the expiry of the current (11th) Board term on 21 December 2026. The Board intends to nominate Liu for re-election to the 12th Board thereafter.
• Remuneration: A monthly basic salary of RMB0.04 million, set with reference to the remuneration committee’s 2026 recommendations, comparable industry benchmarks, and responsibilities of other executive directors.

• Shareholders of record as of the close of business on 3 November 2026 are eligible to attend and vote; the share register will be closed from 3 to 10 November 2026.
• Voting at the EGM will be conducted by poll, with no shareholders required to abstain on the proposed resolution.
• Proxy forms must be submitted at least 24 hours before the meeting; completion of a proxy does not preclude in-person attendance.
The Board states that adding Liu Weimin to the management team will not materially affect the Group’s normal operations and recommends shareholders vote in favour of his appointment.
