SAINT BELLA announces changes to company secretarial team and secures three-year Listing Rules waiver

SAINT BELLA GROUP LIMITED (“Saint Bella”) reported a forthcoming reshuffle of its company secretarial function, effective 30 June 2026.

• Resignations Joint Company Secretaries Mr. Gao Zhongkun and Ms. Oh Sim Yee will step down on 30 June 2026. Ms. Oh will simultaneously cease to act as (i) an authorised representative under Listing Rule 3.05, (ii) an authorised representative under Part 16 of the Hong Kong Companies Ordinance, and (iii) the company’s process agent under Listing Rule 19.05(2). Both outgoing officers confirmed there is no disagreement with the board and no other matters requiring shareholder attention.

• Appointments From the same date, Ms. Hao Yizhe and Ms. Lam Chin Hei will become Joint Company Secretaries. In addition, Ms. Lam will assume the roles of authorised representative and process agent. – Ms. Hao joined the Group in October 2021 and currently heads the President’s Office at Hangzhou Beikang Health Technology Group Co., Ltd., the Group’s principal operating subsidiary. Her responsibilities span ESG implementation, compliance oversight, investor relations and board governance. – Ms. Lam, a Corporate Secretarial Executive at SWCS Corporate Services Group (Hong Kong) Limited, holds associate memberships with both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK). She satisfies the professional qualifications stipulated under Listing Rules 3.28 and 8.17.

• Waiver under Listing Rules 3.28 and 8.17 Because Ms. Hao does not yet meet the formal company secretary qualification criteria, the Stock Exchange granted Saint Bella a three-year waiver beginning 30 June 2026. Key conditions are: 1. Ms. Hao must be assisted by Ms. Lam during the waiver period. 2. The waiver may be revoked upon any material breach of the Listing Rules.

Before the waiver expires, the company must demonstrate to the Stock Exchange that Ms. Hao has acquired sufficient experience to discharge the company secretary’s duties independently, eliminating the need for a further waiver.

The board expressed gratitude to the outgoing secretaries and welcomed the incoming appointees. Chairman, Executive Director and CEO Mr. Xiang Hua signed the announcement, dated 30 June 2026.
