Sheng Tang Holdings (8305) Announces EGM on 20 November 2025 to Approve Capitalisation Agreement

Sheng Tang Holdings Limited (Stock Code: 8305) has scheduled an extraordinary general meeting (EGM) on 20 November 2025 at 4:00 p.m. The meeting will take place at Unit 1901–05, 19/F, Delta House, 3 On Yiu Street, Shatin, N.T., Hong Kong. The main resolution seeks approval of a capitalisation agreement dated 26 September 2025, under which 110,000,000 shares would be issued at HK$0.285 per share to settle HK$31,350,000 of the amount owed by the company to the subscriber, subject to the Stock Exchange’s listing approval. The resolution also proposes granting a specific mandate for the issuance of these shares without prejudicing any existing or other mandates previously granted.

The register of members will close from 18 November 2025 to 20 November 2025 (both days inclusive), during which no share transfers will be registered. Shareholders may attend the meeting in person or appoint a proxy, with proxy forms required to be submitted at least 48 hours before the EGM. In the event of Typhoon Signal No. 8 or above or a “black” rainstorm warning on the meeting date, the EGM will be postponed and a new date announced through official channels.
