ETHK Labs Delays Dispatch of Major Transaction Circular to 30 June 2026

ETHK Labs Inc. announced a further postponement in sending out its shareholder circular related to the planned acquisition of shares in an unnamed target company and the associated voting-rights entrustment arrangement.

The circular—originally scheduled for release on 12 June 2026 following prior extensions—will now be dispatched on or before 30 June 2026. Management cited the need for “additional time” to finalise financial information for the target group and other details required in the document.

The postponed circular is set to include: • Comprehensive information on the Share Transfer Agreement, the First Voting Rights Entrusted Agreement and the Second Voting Rights Entrusted Agreement. • Audited financial statements of the target group. • A notice convening an extraordinary general meeting (EGM) for shareholders to approve the transaction.

This marks the third delay since the company’s initial announcements on 16 November 2025 and 11 March 2026, followed by postponement notices on 17 April 2026 and 29 May 2026.

The board of ETHK Labs currently comprises eight directors: executive directors Lin Xianya, Chan Siu Kei Ken and Yi Xiao; non-executive directors Yao Haiyun and Liu Fei; and independent non-executive directors Dr. Zhong Renqian, Xu Da and Zhang Jianlei.

The latest update was authorised by Executive Director Lin Xianya and released in Hong Kong on 12 June 2026.
